What is Grey Market Premium (GMP) in an IPO?

Grey Market Premium (GMP) is the extra amount that investors are willing to pay for an IPO share in the unofficial grey market before the stock is listed on a recognized stock exchange. It represents the premium over the IPO issue price and is widely used to estimate the expected listing price of a stock.

The IPO GMP reflects investor sentiment and market demand for a public issue. When demand for an IPO is high, the grey market premium usually rises, indicating that investors expect the stock to list at a price higher than its issue price. Conversely, a low or negative GMP may suggest weaker demand and lower listing expectations.

Note: the grey market premium of an IPO depends on its demand.

A high IPO premium indicates that investors are bullish on the company and expect the share price to rise when it lists. A low GMP indicates that investors are bearish and expect the price to fall on listing. Demand leads to a positive or negative listing of the IPO.

What is the grey market in an IPO?

A grey market, also called a parallel market, is an unofficial market for IPO shares and applications. Investors trade shares or applications before they are officially listed on the stock exchange. Grey market trading in India is done in cash and in person.

No third party such as the stock exchanges or SEBI backs these transactions. Kostak and grey market premium are the two best-known terms in the IPO grey market.

What is a grey market stock?

A grey market stock refers to shares bought and sold unofficially before they are listed on a stock exchange, usually around an IPO. These transactions take place outside regulated exchanges and rely on mutual trust between buyers and sellers.

The grey market is commonly used to estimate potential demand and the listing price of an upcoming IPO. However, it is informal and carries higher risk because it operates without regulatory oversight, and trades cannot be settled until the shares are listed. Prices are influenced by investor demand, subscription levels and overall market sentiment.

How does grey market premium work?

Before an IPO lists, buyers and sellers trade shares informally in the grey market. Investors who expect strong listing gains are willing to pay more than the issue price; that extra amount is the GMP. For example, with an issue price of ₹200 and a GMP of ₹60:

Estimated listing price = Issue price + GMP
₹200 + ₹60 = ₹260

This means investors expect the stock to list around ₹260, although the actual listing price may be higher or lower.

How are IPO shares traded in the grey market?

  1. 1 Investors apply for shares in the IPO. These applicants are the sellers, since they may later sell their allotted shares.
  2. 2 Buyers who expect the IPO to list at a premium decide to buy these shares before listing.
  3. 3 Buyers place orders through a grey market dealer at an agreed premium (GMP).
  4. 4 The dealer finds IPO applicants willing to sell their allotted shares.
  5. 5 Sellers who want to avoid listing risk agree to sell for a fixed premium.
  6. 6 After confirming the deal, the dealer notifies the buyer.
  7. 7 If shares are allotted, the seller transfers them to the buyer’s demat account or settles the agreed amount.
  8. 8 If no shares are allotted, the transaction is cancelled.

How to calculate grey market premium

Worked example: an IPO priced at ₹100 trades at ₹130 in the grey market.

GMP % (GMP ÷ issue price) × 100 (₹30 ÷ ₹100) × 100 = 30%
Expected listing price Issue price + GMP ₹100 + ₹30 = ₹130
Negative GMP Grey market price below issue price ₹90 − ₹100 = −₹10

A rising GMP usually means improving sentiment; a falling GMP suggests fading enthusiasm.
Compare with subscription
High subscription + high GMP = strong expectations. Low subscription + high GMP may mean speculative trading.
